Documents Requiring Legal Approval

A list of those documents that require review beyond the university level are noted below. It is critical that you take into consideration the approval time necessary for each stage of contract review. Although University Legal Counsel strives to process contracts within 48 hours of receipt, please note that the Office of Attorney General, and the Office of General Counsel, when applicable, can each take up to an additional 30 days for review and approval.

The following documentation require the signature of University Legal Counsel:
  • All Blueback Contracts
  • Service Purchase Contracts (SPCs) in excess of $1500 
  • Service Bid Contracts (SBCs)
  • Contract Amendments
  • Contract Renewals
  • Leases
  • Licenses 
  • Deeds
  • Agreements of Sale
  • Fiscal Adjustments 
  • Grants 
  • Affiliation Agreements that are not approved templates
  • Yearly work orders for the System-wide fire suppression project 
  • Memoranda of Understanding with Commonwealth agencies
  • Agreements establishing affiliated entities 
  • Fiduciary Agreements
  • Sole Source Certifications 
  • Emergency Certifications
  • Settlement Agreements
  • Letters of Understanding between two PASSHE entities
The following documentation require the signature of University Legal Counsel and the Office of Attorney General:
  • Blueback Contracts (BBs) in excess of $20,000   
  • Service Purchase Contracts (SPCs) in excess of $20,000
  • Service Bid Contracts (SBCs) in excess of $20,000
  • Amendments of any amount  
  • Leases
  • Licenses
  • Deeds 
  • Agreements of Sale  
  • Fiscal Adjustments
  • Grants
  • Agreements establishing affiliated entities
  • Settlement Agreements
  • Fiduciary Agreements
  • Articulation Agreements between a PASSHE University and a third party anticipated to exceed $20,000
The following documentation require the signature of University Legal Counsel, the Office of Attorney General and the Office of General Counsel:
  • All contracts in excess of $500,000
